BBB® Application Programming Interface Terms of Use

  1. Scope of Agreement

    The following Terms of Use (“Agreement”) govern the use of the BBB® Application Programming Interface at https://developer.bbb.org/ (BBB® API”) administered by the International Association of Better Business Bureaus®, Inc. (“IABBB”). The business or individual that accesses the BBB® API (“you”) agrees to be bound by and comply with the terms and conditions of this Agreement, which constitutes a valid and binding legal contract between you and IABBB.

  2. Registration

    Before you access the BBB® API, you will complete a BBB® API Registration Form , in which you will identify yourself and your intended uses of BBB® data obtained through the BBB® API. IABBB will approve the intended uses that are consistent with the BBB® mission (“Approved Uses”) when returning an approved BBB® API Registration Form. This Agreement incorporates the approved BBB® API Registration Form. You represent and warrant that the information you submit on the BBB® API Registration Form is complete, accurate, and current in all respects. You must maintain and promptly update your submitted information to ensure that it continues to be complete, accurate, and current. IABBB reserves the right to suspend, terminate, or otherwise discontinue your access and/or pending registration if IABBB determines, in its sole discretion, that any information you have submitted is incomplete, inaccurate, or not current, or that your registration, account, or use of the BBB® API is inconsistent with the BBB® mission or violates applicable laws or this Agreement.

  3. Grant of Licenses

    Subject to the terms of this Agreement, IABBB grants to you the following licenses:

    1. A limited, non-exclusive, and nontransferable license to use, solely for internal Approved Uses, the BBB® customer complaints and reviews data fields specified in Exhibit A, which Better Business Bureaus® collect or provide with respect to BBB® Accredited Businesses and other businesses in the United States and Canada (“BBB® Complaints/Reviews”). This license allows you to copy and distribute BBB® Complaints/Reviews to other employees and agents of your business for internal uses, but does not allow you or other employees or agents of your business to publicly use, distribute, publish, or display BBB® Complaints/Reviews in any medium or for any other purpose.
    2. A limited, non-exclusive, and nontransferable license to use, for internal and external Approved Uses, the BBB® business data fields specified in Exhibit A excluding BBB® Complaints/Reviews, which Better Business Bureaus® collect or provide with respect to BBB® Accredited Businesses and other businesses in the United States and Canada (“BBB® Data”). This license allows you to use BBB® Data for internal uses as well as to publicly distribute, publish, or display BBB® Data on your websites, social media sites, and mobile applications that you identified in the BBB® API Registration Form. You may add elements or attributes from the BBB® Data about a particular business to data about that business from other sources for the Approved Uses, and you may use the BBB® Data to create a listing and business profile page for that business in the Approved Uses. Where a BBB® Rating is available for a business, you may display the BBB® Rating in the Approved Uses with attribution to IABBB as the source and may, at your discretion, also provide a link to IABBB with such attribution. You will ensure that your publication of BBB® accreditation and rating information is accurate. You will refresh your download at least once every 30 days, though IABBB encourages you to refresh your download of BBB® Data at least biweekly. If BBB® Data indicates that a business is BBB® Accredited, your publication of BBB® Data will include a designation that such business is “BBB® Accredited” and/or use the AB Seal (see subsection (c) below) for the business and link to the business’s BBB® Business Profile.
    3. A limited, non-exclusive, and nontransferable license to use, for external Approved Uses, the IABBB trademark BBB® Accredited Business seal (“AB Seal”). This license allows you to use the AB Seal to publicly identify BBB® Accredited Businesses on your websites, social media sites, and mobile applications that you identified in the BBB® API Registration Form. IABBB will provide you with digital files of the AB Seal. You will respond within five business days to notifications from IABBB that you have associated the AB Seal with a non-accredited business in violation of the terms of this Agreement. You will not blur or alter the AB Seal or add other design elements, color overlays, background, ornamentation, or textures on or near the AB Seal and will not alter the commercial impression of the AB Seal. You will not use the AB Seal in close proximity to your trademarks or trade names, or those of any other party, in a manner that creates a confusing joint logo or trademark.
    4. A limited, non-exclusive, and nontransferable license to use, for external Approved Uses, the IABBB trademarks “Better Business Bureau” and “BBB” (“BBB Marks”). This license allows you to use BBB® Marks to publicly identify IABBB as the source of BBB® Data you distribute, publish, or display on your websites, social media sites, and mobile applications that you identified in the BBB® API Registration Form. You will not blur or alter the BBB® Marks by adding other design elements, color overlays, background, ornamentation, or textures on or near the BBB® Marks and will not alter the commercial impression of the BBB® Marks. You will not use the BBB® Marks in close proximity to your trademarks or trade names, or those of any other party, in a manner that creates a confusing joint logo or trademark.
    5. A limited, worldwide, non-exclusive and nontransferable license to use the BBB® API to access BBB® Data and BBB® Complaints/Reviews for the Approved Uses. You may access BBB® Data and/or BBB® Complaints/Reviews in the format and mechanism set forth in Exhibit A. You will access BBB® Data and BBB® Complaints/Reviews only as expressly authorized under this Agreement and only through the interfaces and functionality that IABBB designates.

    You will use BBB® Data and BBB® Complaints/Reviews in compliance with all applicable federal, state/provincial, and local laws, statutes, rules, regulations, and ordinances. You will not distribute BBB® Data or BBB® Complaints/Reviews in an unmodified “bulk” form.

    You will not use BBB® Data and BBB® Complaints/Reviews for sales and marketing purposes or for any other purpose other than the Approved Uses. However, you may generally promote the availability of BBB® Data as a potential feature of your websites, social media sites, and mobile applications that you identified in the BBB® API Registration Form. In addition, you may perform software tests and evaluation and debugging activities that are necessary to permit the development of the applications and systems that will support the Approved Uses.

    As between you and IABBB, IABBB retains all ownership rights (including copyright, trademark and other intellectual property rights) in BBB® Data, BBB® Complaints/Reviews, the AB Seal, the BBB® Marks, and the BBB® API, provided that the foregoing will not limit your rights in and to any data obtained from another source to the extent such data is duplicative of information provided to you through the BBB® API. Except for the specific licenses granted in this Agreement, nothing in this Agreement grants to you any right or title in any of IABBB’s trademarks, which you agree are the sole property of IABBB. This Agreement does not limit the rights and permissible uses that you would have independent of this Agreement, such as those granted in an Accreditation Agreement between your business and a BBB®.

  4. BBB® Data Usage, Performance Metrics and Auditing
    1. IABBB may, from time to time and in its sole discretion, require you to provide IABBB with BBB® Data Usage and performance Metrics (“Metrics”). Such Metrics may include, without limitation, the frequency in which you display BBB® Accreditation or BBB® Ratings in Approved Uses and the frequency in which users of your Approved Uses use search filters to locate businesses based upon their BBB® Rating and/or Accreditation status.
    2. IABBB, directly, or through a designated representative, reserves the right in its sole discretion, to conduct periodic software audits of your Approved Uses during the term of this Agreement to ensure compliance with this Agreement. Such audits will be conducted at IABBB’s own expense. Failure to comply with the request for an audit will result in the immediate termination of this Agreement.
  5. User Accounts

    You will be required to register an account to use the BBB® API and create a username and password as access credentials. Each registration is for a single entity or individual user only. You agree to treat your access credentials as confidential and not to disclose them to any third party without the prior express written consent of IABBB, which may be withheld in its sole discretion. You will immediately notify IABBB if you suspect or become aware of any loss, theft, or unauthorized use of your login credentials. IABBB will not be liable for any loss or damage arising from your failure (whether intentional or unintentional) to comply with these obligations.

  6. Data Security
    1. You will use commercially reasonable industry practices to safeguard BBB® Data, including implementing and maintaining appropriate administrative, physical, and technical safeguards to secure BBB® Data from unauthorized access, alteration, loss or use. With respect to BBB® Data, you will comply with all applicable data protection laws, regulations, and industry standards.
    2. To the extent that BBB® Data may contain protected personal information under an applicable data privacy law:
      1. You represent and warrant that all of your employees, agents, and contractors involved in the processing of BBB® Data have undergone adequate training in the care, protection and handling of personal data, and that you comply with all applicable data privacy laws, regulations, and industry standards with respect to BBB® Data.
      2. You will immediately notify IABBB of (a) any actual, attempted or reasonably suspected breach of your information systems that is likely to materially threaten the security of BBB® Data; (b) any actual, attempted or reasonably suspected unauthorized access to or acquisition of BBB® Data in your systems; or (c) any circumstance in which applicable law requires notification of a breach of BBB® Data to be given to affected data subjects. If such breach notification is required, you will promptly provide IABBB with a detailed description of the incident, the data accessed, the identity of affected data subjects, if any, and such other information that IABBB may reasonably request, and you will reasonably cooperate with IABBB and any law enforcement or regulatory official investigating the circumstance.
  7. License Fees

    The approved BBB® API Registration Form will specify the amount of any license fees you will pay to IABBB for access to the BBB® API and the licenses to use BBB® Data, BBB® Complaints/Reviews, the AB Seal, and BBB® Marks. You agree to make all payments on the payment schedule specified in the BBB® API Registration Form. IABBB reserves the right to change licensing fees in the future and will provide you with no less than sixty (60) days’ notice of any change.

  8. Term and Termination
    1. This Agreement begins on IABBB’s approval of your BBB® API Registration Form (“Effective Date”).
    2. IABBB may offer you a trial subscription during which you can access the BBB® API for no charge. The free trial subscription period will begin on the Effective Date and terminate 30 days after the Effective Date. Unless you provide notice of termination before the end of the free trial period, your trial subscription will automatically convert to a paid subscription and you will pay the license fees specified in the BBB® API Registration Form. Other than Section 7 (License Fees), all terms of this Agreement apply during the free trial subscription period.
    3. Following expiration of the free trial subscription period, the initial paid subscription term of this Agreement begins on the date of expiration and continues for six (6) months. If you do not participate in a free trial subscription, the initial paid subscription term of this Agreement begins on the Effective Date and continues for six (6) months. Unless earlier terminated by either party, this Agreement will automatically renew for successive six (6) month terms.
    4. This Agreement may be terminated: 
      1. By either you or IABBB on at least sixty (60) days’ written notice to the other party; or
      2. By either you or IABBB immediately on written notice to the other party in the event (a) of a material breach of any provision of this Agreement if the breach is not cured to the reasonable satisfaction of the non-breaching party within 15 days of the breaching party receiving notice of the breach; (b) that any assignment is made by the other party for the benefit of creditors, or if a receiver, trustee in bankruptcy or similar officer is appointed to take charge of any or all of the other party’s property, or if the other party files a voluntary petition under federal bankruptcy laws or similar state statutes or a petition is filed against the other party and is not dismissed within 60 days; or (c) that a party uses the terminating party’s trademarks and/or name in any manner likely to deceive or mislead the public or to endanger the validity or good will of the trademarks and/or name if such use is not modified to the reasonable satisfaction of the terminating party within 15 days of the other party receiving notice. 
    5. Upon termination of this Agreement for any reason, all user accounts will be disabled, all rights granted to either party to use the other party’s data and trademarks will cease, and each party will immediately discontinue all uses and destroy all copies (including written and electronic copies) of the other party’s data and trademarks obtained under this Agreement.
    6. The provisions in this Agreement that by their nature prescribe continuing rights and obligations will survive the termination of the Agreement.
  9. Amendments

    IABBB may modify the BBB® API or the terms of this Agreement from time to time. IABBB will send you an email alerting you to the amended Agreement posted on the BBB® API site. Your continued use of the BBB® API constitutes your acceptance of the amended Agreement. If you do not accept the amended Agreement, you must notify IABBB of your termination of the Agreement and cease your access to the BBB® API.

  10. Disclaimer of Warranties 

    THE API, BBB® DATA, BBB® COMPLAINTS/REVIEWS, AB SEAL AND BBB® MARKS ARE PROVIDED “AS IS” AND IABBB DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. IABBB MAKES NO WARRANTY OF ANY KIND THAT THE API, OR ANY PRODUCTS OR RESULTS OF USING THE API, WILL MEET YOUR SPECIFICATIONS, OPERATE WITHOUT INTERRUPTION, ACHIEVE ANY INTENDED RESULT, BE COMPATIBLE OR WORK WITH ANY OF SOFTWARE, SYSTEM, OR OTHER SERVICES, OR BE SECURE, ACCURATE, COMPLETE, FREE OF HARMFUL CODE, OR ERROR-FREE, OR THAT ANY ERRORS OR DEFECTS CAN OR WILL BE CORRECTED. 

  11. Limitation of Liability 

    EXCEPT FOR ANY INDEMNIFICATION OBLIGATION OR BREACH OF A WARRANTY OR CONFIDENTIALITY OBLIGATION, NEITHER PARTY WILL BE LIABLE FOR ANY INCIDENTAL, SPECIAL, PUNITIVE, INDIRECT, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING LOST PROFITS, LOST DATA, LOST REVENUES, AND LOSS OF BUSINESS OPPORTUNITY, WHETHER OR NOT THE OTHER PARTY WAS AWARE OR SHOULD HAVE BEEN AWARE OF THE POSSIBILITY OF THESE DAMAGES. 

  12. Indemnification 

    You will indemnify, defend and hold harmless IABBB and its employees, affiliates, officers, directors, successors and assigns (collectively the “IABBB Parties”) from and against all claims, actions, suits, demands, damages, obligations, losses, settlements, judgments, costs and expenses (including, without limitation any reasonable attorneys’ fees and costs) arising out of any third party claim that relates to or results from your breach of this Agreement or your use of BBB® Data, BBB® Complaints/Reviews, the AB Seal, or BBB® Marks.

  13. General Provisions.
    1. Confidentiality. “Confidential Information” means confidential or proprietary information disclosed by either party to the other in connection with this Agreement, which is designated in writing as confidential or proprietary at the time of disclosure or should reasonably be considered confidential, including Metrics (collectively defined as “Confidential Information”). The receiving party will not use Confidential Information for any purpose other than the performance of the receiving party’s rights or obligations under this Agreement, and will not disclose Confidential Information to any person or entity other than the receiving party’s employees and contractors who have a need to know the Confidential Information and are bound by an obligation of confidentiality with respect to the Confidential Information no less restrictive than this subsection. The receiving party will protect the disclosing party’s Confidential Information from disclosure to others with the same degree of care accorded to its own confidential and proprietary information, but in no case with less than reasonable care. These obligations do not apply to information that (1) is or becomes generally known to the public through no fault of the receiving party; (2) is known by the receiving party at the time of disclosure without any obligation of confidentiality with respect thereto; or (3) is independently developed or derived by the receiving party without use or reference to the disclosing party’s Confidential Information. If a party is required by law to disclose Confidential Information of the other party, it will provide the other party with prompt written notice of the required disclosure and take all reasonable efforts to minimize the extent of disclosure.
    2. Notices. Any notice or communication from one party to the other will be in writing and either personally delivered or sent by electronic or other method providing proof of delivery addressed to the other party at the address set forth in the BBB® API Registration Form or another address as either party may from time to time designate in writing to the other party. All notices shall be effective upon receipt.
    3. Feedback. If you or any of your employees or agents sends any communication to IABBB suggesting or recommending changes to the BBB® API ("Feedback"), you and your employees and agents assign to IABBB all right, title, and interest in the Feedback, and IABBB is free to use, without any attribution or compensation, any ideas, know-how, concepts, techniques, or other intellectual property rights contained in the Feedback for any purpose whatsoever. 
    4. Force Majeure. In the event that IABBB is prevented from performing, or is unable to perform, any of its obligations under this Agreement due to any cause or occurrence beyond IABBB’s reasonable control, IABBB’s performance will be excused, and the time for performance will be extended, for the period of delay or inability to perform due to the cause or occurrence.
    5. Waiver. The waiver by either party of a breach or a default of any provision of this Agreement by the other party will not be construed as a waiver of any succeeding breach of the same or any other provision, nor will any delay or omission on the part of either party to exercise or avail itself of any right, power or privilege that it has, or may have, operate as a waiver of any right, power or privilege by the party.
    6. No Agency. Nothing contained in this Agreement will be deemed to imply or constitute either party as the agent or representative of the other party, or both parties as joint venturers or partners for any purpose. 
    7. No Assignment. Neither party will transfer or assign any of the rights granted in this Agreement without the prior written consent of the other party (which consent will not be unreasonably withheld), except to an affiliate or successor in interest as a result of a corporate reorganization, merger, sale of all, or substantially all, of its assets, or acquisition, in which case the assigning party will notify the other party in writing as soon as practicable of such assignment. 
    8. Governing Law. This Agreement will be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its choice of law provisions.
    9. Entire Agreement. This Agreement constitutes the entire agreement between the parties with regard to its subject matter. 
    10. Successors. This Agreement will be binding upon, and inure to the benefit of, each party’s successors and permitted assigns. 
  14. Free Trial Disclosure
    • To begin your free trial, you will need to provide your credit card information.
    • Your free trial will last for 30 days or until you reach 300 API calls for each endpoint, whichever comes first.
    • After using your 300 free API calls, your subscription will automatically begin on the 301st API call. You will not need to initiate this from your dashboard.
    • If payment for the subscription fails, your access to the API will be terminated.
    • You may cancel your trial or subscription at any time, either before or after the trial period ends. Free trials can be managed under the “Subscription” tab in your account.
    • If you do not cancel and continue using the service, you will be automatically charged the flat subscription fee for the endpoints you selected and may be subject to overage charges if your usage exceeds the allotted amount for your plan.
    • You can manage your subscription, review usage, and view pricing details by logging into your account at any time.
    • BBB® reserves the right to revoke API access if your organization is found to be in violation of the terms and conditions of your account.
    • Please ensure you review the full pricing details and usage terms for each endpoint when starting your trial.
  15. Subscription Disclosure
    • Your credit card will be charged the flat rate defined by the endpoint you’ve subscribed to.
    • Your account will be subject to any overage charges based on the number of calls made over the allotted free calls defined by the endpoint you’ve subscribed to.
    • Your credit card will be charged each month, starting today. Any accumulated overage charges will be applied to your credit card at the end of the month.
    • Your subscription can be cancelled anytime within the BBB® Developer Dashboard under “Subscription”. If you choose to cancel, your access to the API will be terminated one month after the last flat rate charge. Your account will be subject to any overage charges accumulated after cancellation.
